Preeti Malhotra

Preeti Malhotra (born 1965) is an Indian businesswoman, a Partner and Executive Director of Smart Group [1] (formerly known as Spice Global),[2] a diversified conglomerate, headquartered at Singapore with interests in the mobility, finance, entertainment, electric vehicles and healthcare sectors. The group has its footprint across India, China, ASEAN, Middle East, US, UK and Africa.[2]

She is on the board of several companies of the group. An Accomplished global professional, Preeti has over 25 years of experience in Corporate & Legal affairs, Corporate and business strategy, strategic alliances & JVs, corporate communications & project management etc.

Ms Malhotra is the first ever woman President of the Institute company secretaries of India (ICSI).[3] She has been active in the field of corporate governance and was a member of the JJ Irani Committee[4] in 2005 constituted by the Ministry of Corporate Affairs, Government of India, to advise the government on the Company Law. She is currently chairing the ASSOCHAM National Council on Corporate Affairs, corporate Governance and CSR.[5]

Currently, she is also a member of the Board of Governors of the Indian Institute of Corporate Affairs, a body of the Ministry of Corporate Affairs, Government of India.[6]

Early life

After completing her schooling from Convent of Jesus of Mary, New Delhi in 1982, Preeti Malhotra graduated with honours (Bachelor’s in Commerce) from Delhi University in 1985. She obtained her law degree from Delhi University in 1988 and a degree in Company Secretary from ICSI in 1991.[7]

Career

Preeti Malhotra started her professional career with Modi Xerox/Xerox Modicorp Limited as Company Secretary. She was also the Company Secretary of Modi Telstra Limited, Modi Federal Limited, Spice Communications.[8] In addition, she was appointed as the Director & company secretary of Spice Mobility ltd. in 2002 [9] and Executive Director with Smart Ventures Ltd.[10] Subsequently, she became Executive Director of Smart Global Holdings Pvt. Ltd.

Preeti has been an active contributor to various policy initiatives of the Govt. Of India. When she was a member of the JJ Irani Committee in 2005 constituted by the Ministry of Corporate Affairs, Government of India, her suggestions on issues related to incorporation and registration of companies, as well as management and board governance, were taken on board.[11] She also gave inputs to the government in the drafting of the Limited Liability Partnership Law. She was invited by OECD to speak at the Asian round Table Discussions on Corporate Governance in 2005 and 2006.

She was elected as a member of the NIRC and became the First Woman Chairman of the NIRC in 2002.[12] Preeti then went on to be elected as a Central Council Member of the ICSI for two terms and in 2007 she became the first-ever woman president of the Institute of Company Secretaries of India (ICSI) - a record that stands to date amongst all premier national professional bodies in India.[3]

  • Vocational Service Excellence Award by Rotary Club of New Delhi in 2009.[5]
  • “Recognition of Excellence Award” - She received it on behalf of ICSI as its Past President during the Celebration of India Corporate Week 2009 by Ministry of Corporate Affairs.[5]

Preeti has been strongly committed to the cause of establishing and building Corporate Social Responsibility amongst the Indian corporates. As Chairperson of the ASSOCHAM National Council for Corporate Affairs, Corporate Governance and CSR she has instituted the
