Nippon Flour Mills Co., Ltd. (日本製粉株式会社, Nippon Seifun Kabushiki-gaisha, NIPPN) (TYO: 2001) is a Japanese company which derives most of its revenue from milling flour and produces flour related products such as noodles. It was established in 1896. Nippon Flour Mills (NFM) and its group companies engage in a wide range of food businesses that include i) flour milling, the core business of NFM, ii) food business consisting of manufacture and sale of food ingredients, processed foods, Nakashoku (meal solutions), frozen foods, etc. iii) manufacture and sale of health foods, cosmetics and pet foods and iv) other businesses including management of sports facilities and bioscience business. Nippon Flour Mills is listed on the Nikkei 225 stock market index. It is part of the Mitsui Group.

The Group is a leading operator of the milling business in Japan, being a pioneer of the milling industry

in Japan for over 120 years since its establishment in 1896, focused on improving the quality of flour at the same

time as ensuring stable supply in Japan. In addition to a rich line-up of wheat flour, the Group offers a wide range

of products made from cereals such as wheat bran, buckwheat, rice, corn and soybean. The Group’s core

businesses comprise the flour milling business, with the NIPPN brand, and the food business, the Group’s growth

driver, involved in the production and sale of ready-made meals targeted for sale in convenience stores,

processed foods (such as pasta and pasta sauces) under its Oh’my and REGALO brands, frozen foods

(principally sold under its Oh’my brand), as well as premixes (such as doughnut mixes) for institutional and

home use.

The Group’s operations are principally divided into the following two reportable segments:

• Flour Milling, engaged principally in the production of wheat flour, wheat bran and buckwheat

flour at the Group’s seven flour mills located throughout Japan, sold for institutional use. For

the fiscal year ended 31 March 2018, the Group’s net sales to external customers in this

segment amounted to ¥97,752 million, or 30.2 per cent of consolidated net sales for the period.

• Food, engaged principally in the production and sale of ready-made meals targeted for sale in

convenience stores, premixes (such as doughnut mixes), processed foods (such as pasta and

pasta sauces) and frozen foods for both institutional and home use, and wheat flour for home

use. For the fiscal year ended 31 March 2018, the Group’s net sales to external customers in

this segment amounted to ¥191,643 million, or 59.3 per cent of consolidated net sales for the

period.

Other businesses, not comprised in the two reportable segments, are categorised as the “Other” segment

and include the engineering business, the production and sale of pet food and health food and the operation of

doughnut shops (which use the Group’s premix products). For the fiscal year ended 31 March 2018, the Group’s

net sales to external customers in this segment amounted to ¥34,099 million, or 10.5 per cent of consolidated net

sales for the period.

As at 31 March 2018, the Company had 47 consolidated subsidiaries, 15 non-consolidated subsidiaries

(of which six were accounted for by the equity method) and 24 affiliates (of which eight were accounted for by

the equity method). For the fiscal year ended 31 March 2018, the Group’s net sales, operating income and profit

attributable to owners of parent amounted to ¥323,495 million, ¥10,060 million and ¥7,651 million, respectively.

The Shares are listed on the First Section of the Tokyo Stock Exchange. The market capitalisation of the

Company based on the closing price of the Shares on the Tokyo Stock Exchange on 6 June 2018 was

approximately ¥157,868 million.
